1. Introduction
1.1 These Terms and Conditions (the “Agreement”) govern the Referral Program (“Partner Program”, “Program” or “Affiliate Program”) offered by Upscore Ltd, Company Number: 14707637, whose registered office is at 1-2 Charterhouse Mews, London, England, EC1M 6BB (“Upscore”, “we”, “us”, “our”).
1.2 By applying to or participating in the Program, you (“Affiliate”, “partner”, “you”, “your”) agree to comply with these terms and conditions, as well as Upscore’s Terms and Conditions and Privacy Policy.
2. Participation in the Program
2.1 To participate in the Program, you must complete the registration process and be approved by Upscore. Upscore reserves the right to approve or reject any application at its sole discretion without the need for justification.
2.2 Once approved, you will be provided access to the Affiliate Dashboard, where you can track referrals, commissions, and withdraw payments.
2.3 You agree to promote Upscore’s services to consumers in a lawful and ethical manner and in accordance with this Agreement. Upscore’s services include, but are not limited to, credit broking, data analytics, and other financial services.
3. Affiliate Responsibilities
3.1 The Affiliate agrees not to engage in any practices that may harm Upscore’s reputation, including, but not limited to, spamming, misleading advertising, or any form of illegal, deceptive, or unethical marketing.
3.2 The Affiliate shall not make any representations or warranties concerning Upscore’s services except as expressly authorized by Upscore.
3.3 Affiliates are responsible for ensuring that their content complies with all applicable laws, regulations, and advertising standards.
4. Commission and Payment Terms
4.1 Affiliates will earn a commission fee for each successful conversion, defined as a referred user completing a financial transaction, such as securing a mortgage (“Conversion”).
4.2 Payment terms, rates, and conditions may vary depending on specific campaigns, and Upscore reserves the right to adjust these terms at any time. Different Affiliates may be subject to different compensation structures as agreed with Upscore. The details of your compensation plan will be available in your Affiliate Dashboard.
4.3 Commissions are typically paid on a fixed-per-conversion basis, and specific rates are outlined in the Affiliate Dashboard.
4.4 Upscore reserves the right to verify all Conversions and may withhold payment if a Conversion is found to be invalid, fraudulent, or in violation of this Agreement.
4.5 Payments will be made via the payment methods listed in the Affiliate Dashboard. Upscore may change the accepted payment methods at any time without prior notice. If the currency of the commission generated by the mortgage differs from that of your bank account, Upscore will apply the exchange rate provided by its bank on the payment processing date. Exchange rates may fluctuate.
4.6 Payments are subject to applicable taxes and withholding as required by law. Affiliates are responsible for reporting and paying any taxes due on commissions received.
5. Platform Availability and Limitations
5.1 Upscore aims to provide continuous availability of the Affiliate Dashboard and related services but does not guarantee uninterrupted or error-free operation. Upscore is not liable for any downtime, technical issues, or interruptions of service.
5.2 Upscore reserves the right to modify, suspend, or discontinue any aspect of the Program or Affiliate Dashboard at any time without liability.
6. Term and Termination
6.1 This Agreement shall commence on the date of your acceptance into the Program and continue until terminated by either party.
6.2 Upscore may terminate this Agreement, or your participation in the Program, at any time with two (2) weeks’ notice, without cause.
6.3 Upscore may terminate immediately and without notice if you breach any term of this Agreement, engage in unethical or unlawful behavior, or otherwise bring Upscore into disrepute.
6.4 Upon termination, you will immediately cease all use of Upscore trademarks, links, and other promotional materials.
7. Confidentiality and Data Protection
7.1 You agree to keep all non-public information related to Upscore, including but not limited to business strategies, commission structures, and customer data, confidential and not to use such information for any purpose other than fulfilling your obligations under this Agreement.
7.2 Both parties will comply with applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR), in relation to any personal data processed under this Agreement.
8. Limitation of Liability
8.1 Upscore will not be liable for any indirect, incidental, special, or consequential damages, or any loss of revenue, profits, or data arising in connection with this Agreement, whether in contract, tort (including negligence), or otherwise.
8.2 Upscore’s total liability arising under or in connection with this Agreement will be limited to the total commissions paid or payable to you under this Agreement.
9. Amendments
9.1 Upscore reserves the right to amend these Terms and Conditions at any time. Affiliates will be notified of any changes via email or through the Affiliate Dashboard. Continued participation in the Program constitutes acceptance of the revised terms.
10. Governing Law and Jurisdiction
10.1 This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
10.2 Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Miscellaneous
11.1 If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
11.2 This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, representations, and understandings.
